Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the ReSell Marketplace mobile application and related services (the “Service”). By creating an account, accessing, or using the Service, you agree to these Terms.

If you do not agree, do not use the Service.

1. What ReSell Marketplace is

ReSell Marketplace is a user-generated local marketplace platform that allows users to:

• Create marketplace listings for permitted items
• Upload listing photos and descriptions
• Search marketplace listings
• Search people/public profiles
• View public profiles and user listings
• Favorite listings
• Message other users
• Report listings or users
• Block and unblock users
• Use account and safety controls in the app

ReSell Marketplace may also show official app update announcements, such as version update stories, from ReSell Marketplace.

2. What ReSell Marketplace does not do

ReSell Marketplace is a listing, search, profile, messaging, and safety-tool platform only.

ReSell Marketplace does not:

• Process payments
• Hold funds
• Provide escrow
• Provide shipping
• Guarantee item condition, quality, authenticity, ownership, legality, delivery, or availability
• Verify every user identity
• Guarantee that a buyer or seller will complete a transaction
• Mediate every dispute, refund, return, chargeback, or failed transaction

All transactions are arranged directly between users at their own risk.

As of version 2.0.0, ReSell Marketplace does not currently offer in-app subscriptions, paid marketplace events, in-app payment processing, escrow, shipping, or general user-created story posting.

3. Eligibility

You must be at least 18 years old to use ReSell Marketplace. By using the Service, you represent that you are 18 or older and have the legal capacity to enter into these Terms.

You may not use the Service if you are prohibited from doing so under applicable law or if we previously disabled or removed your account for serious or repeated violations.

4. Account registration and security

You are responsible for your account and all activity under it.

You agree to:

• Provide accurate account information
• Use a valid email address
• Keep your login credentials confidential
• Notify us if you believe your account has been compromised
• Use only your own account unless authorized
• Not create accounts to evade restrictions, blocks, suspensions, or enforcement actions

ReSell Marketplace may assign or store account identifiers, including usernames, public user IDs, and internal IDs, for account management, moderation, safety, and support.

We may restrict, suspend, disable, or delete accounts for policy violations, safety risks, suspected fraud, misuse, or legal compliance.

5. User content

“User Content” means content that users create, upload, submit, post, attach, or send through the Service, including:

• Listings
• Listing photos
• Profile information and profile photos
• Messages
• Report details
• Screenshots or evidence images attached to reports
• Usernames and public profile content

You are responsible for your User Content. You represent and warrant that:

• You own or have the right to submit the content
• The content is accurate and not misleading
• The content does not violate the law
• The content does not violate these Terms or our Community Guidelines
• The content does not infringe another person’s rights, including intellectual property or privacy rights

6. License to operate the Service

You keep ownership of your User Content, but you grant ReSell Marketplace a non-exclusive, worldwide, royalty-free license to host, store, copy, display, distribute, transmit, process, modify for technical formatting, and use your User Content as reasonably necessary to:

• Operate the Service
• Display listings, profiles, messages, and reports
• Provide marketplace search and public profile features
• Store and deliver uploaded images
• Support reporting, blocking, moderation, and safety review
• Improve, secure, and maintain the Service
• Comply with legal obligations

This license continues for as long as needed to operate the Service, enforce policies, retain safety records, or comply with legal obligations.

7. Listings and marketplace rules

All listings must be truthful, lawful, and clear.

You agree that listings must:

• Accurately describe the item, condition, and price
• Use photos you own or have permission to use
• Not mislead users about item quality, authenticity, availability, location, or price
• Not include prohibited items or prohibited content
• Not include private personal information or unsafe contact details
• Comply with federal, state, local, and other applicable laws

We may hide, remove, restrict, preserve, or review listings at any time if we believe they violate rules, create risk, are misleading, or may be unlawful.

8. Public profiles, search, and favorites

ReSell Marketplace may provide public profile pages, people search, marketplace search, and favorites.

You understand that:

• Your username, public profile information, profile photo, and public listings may be visible to other users.
• Public profile listing sections may show active or sold listing information where supported.
• Users may search marketplace listings or public profiles.
• Users may favorite or unfavorite listings.
• Search, filter, and favorite features do not guarantee visibility, ranking, sale, availability, or accuracy.

We may change, limit, or remove search, profile, favorite, or listing visibility features at any time.

9. Location features

ReSell Marketplace may use location to show nearby listings, calculate approximate distance, and help set a listing’s approximate public location label.

You understand that:

• Exact coordinates are used privately for distance and nearby discovery where enabled.
• Other users are intended to see only approximate public location labels and approximate distance, not exact coordinates.
• You can deny device location permission and use custom/manual location options where available.
• You are responsible for using accurate and safe location information.

We do not guarantee that distance, location labels, or nearby results are perfectly accurate.

10. Messaging rules

Messaging is intended for respectful communication about marketplace listings and transactions.

You may not use messages to:

• Harass, threaten, intimidate, stalk, or abuse others
• Send hate, discriminatory, violent, sexually explicit, exploitative, or illegal content
• Scam, phish, spam, or impersonate others
• Request passwords, banking information, government IDs, Social Security numbers, or other sensitive personal information
• Move users off-platform for fraud, abuse, or prohibited activity
• Arrange transactions involving prohibited items or illegal conduct

We may review messages when reasonably necessary for safety, moderation, support, legal compliance, or abuse prevention.

11. Reporting, blocking, and moderation tools

ReSell Marketplace provides in-app safety tools, including:

• Reporting listings
• Reporting users
• Blocking users
• Unblocking users from the profile menu where supported
• Submitting report categories and optional report details
• Attaching optional screenshots or evidence images to reports

You agree not to abuse reporting, blocking, or moderation tools. False, malicious, spam, or abusive reports may result in enforcement action.

Blocking may limit interactions or visibility between users, but we do not guarantee that blocking prevents every possible indirect interaction or exposure.

12. Prohibited conduct

You may not:

• Use the Service for illegal activity
• Violate any law or regulation
• Post or facilitate prohibited items
• Harass, threaten, abuse, stalk, intimidate, or exploit others
• Use hate speech or promote discrimination or violence
• Impersonate another person or misrepresent affiliation
• Post scams, fraudulent listings, bait-and-switch listings, or deceptive content
• Sell stolen, counterfeit, unsafe, or restricted goods
• Request or share sensitive personal information
• Upload malware, spyware, or harmful content
• Attempt to bypass security, moderation, rate limits, account restrictions, or blocks
• Scrape, copy, reverse engineer, or interfere with the Service except as allowed by law
• Submit false reports or misuse support systems
• Create multiple accounts to evade enforcement

13. Prohibited items and content

You may not list, sell, request, promote, arrange, or facilitate transactions involving prohibited items or content, including but not limited to:

13.1 Illegal, regulated, or dangerous goods

• Illegal drugs, controlled substances, or drug paraphernalia
• Weapons, firearms, firearm parts, ammunition, silencers, explosives, fireworks, or items intended to harm
• Stolen goods or items suspected to be stolen
• Counterfeit items or replicas presented as authentic
• Items that infringe intellectual property rights
• Hazardous materials, toxic chemicals, poisons, radioactive materials, or unsafe pesticides
• Tobacco, vaping products, nicotine products, or related accessories
• Alcohol
• Prescription medication, controlled pharmaceuticals, or prescription medical devices
• Recalled items where resale is restricted or unsafe

13.2 Sexual content, exploitation, and minors

• Pornography, explicit sexual content, or sexual services
• Sexual solicitation
• Content involving minors in sexual or exploitative contexts
• Exploitation, grooming, trafficking-related content, or child sexual abuse material

13.3 Hate, violence, harassment, and self-harm

• Hate speech or discriminatory content
• Content promoting extremist activity, violence, or harassment
• Threats of violence
• Encouragement of self-harm or suicide
• Content that glorifies real-world harm

13.4 Fraud, scams, and deceptive activity

• Phishing, scams, fake giveaways, or fraudulent listings
• Misleading prices or bait-and-switch listings
• Attempts to obtain sensitive personal information
• Stolen accounts, pirated software, or illegal digital goods
• Anything intended to deceive, exploit, or financially harm others

13.5 Other restricted content

• Gambling services or gambling devices
• Live animals
• Spam, mass unsolicited advertising, or repetitive low-quality postings
• Any content or transaction that violates federal, state, local, or other applicable law

This list is not exhaustive. We may remove content or restrict accounts if we believe an item, transaction, or behavior creates legal, safety, fraud, or platform integrity risk.

14. Safety and transaction guidance

Because ReSell Marketplace does not process payments or verify every user:

• Meet in public, well-lit places when possible.
• Consider bringing another person.
• Inspect items before paying.
• Avoid sending deposits or advance payments to unknown users.
• Use safe payment methods.
• Do not share sensitive personal information.
• Trust your instincts and cancel if something feels suspicious.
• Contact local emergency services if there is an immediate safety threat.

Users are solely responsible for transactions arranged through the Service.

15. Moderation and enforcement

We may, at any time and in our sole discretion:

• Remove, hide, restrict, or preserve content
• Hide or remove listings
• Limit search/profile/listing visibility
• Restrict messaging or account functionality
• Disable, suspend, soft-delete, or terminate accounts
• Preserve reports, evidence, messages, account snapshots, and moderation history
• Cooperate with lawful requests from authorities where required
• Take action without notice when urgent safety, legal, fraud, or abuse risks exist

We are not obligated to monitor all content, but we may review listings, messages, public profiles, reports, evidence images, and related account activity when necessary for safety, abuse prevention, policy enforcement, support, and legal compliance. We aim to review and act on safety-related reports as quickly as reasonably possible, generally within 24 hours when practical.

16. Image storage and third-party services

User-uploaded images may be stored and delivered through third-party storage providers, including Cloudflare R2. Older images may have been stored using legacy providers such as Cloudinary.

You agree that ReSell Marketplace may store, copy, migrate, optimize, cache, and deliver user-uploaded images as reasonably necessary to operate, secure, moderate, and maintain the Service.

17. App updates and official announcements

ReSell Marketplace may show official in-app update announcements, such as app version stories or release notes.

As of version 2.0.0, the story/update area is for official ReSell Marketplace updates and is not a general user-created story feature.

18. Intellectual property

ReSell Marketplace, ReSell names, logos, app design, graphics, features, and related materials are owned by Scott Cote or licensors and are protected by applicable intellectual property laws.

You may not copy, modify, distribute, reverse engineer, sell, or exploit ReSell Marketplace materials except as allowed by law or with written permission.

19. Feedback

If you send suggestions, ideas, feedback, bug reports, or feature requests, you grant ReSell Marketplace permission to use them without restriction or compensation.

20. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RESELL MARKETPLACE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not guarantee that:

• Listings are accurate, lawful, safe, or available
• Users are who they claim to be
• Items are authentic, functional, legal, or in the condition described
• Transactions will be completed safely or successfully
• Messages will be delivered without delay or error
• Location, distance, search, or profile results will be accurate or uninterrupted
• The Service will be secure, uninterrupted, available, or error-free

21. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RESELL MARKETPLACE AND ITS OPERATOR WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, USE, OR OTHER INTANGIBLE LOSSES ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE.

RESELL MARKETPLACE’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF:

• USD $100, OR
• THE AMOUNT YOU PAID RESELL MARKETPLACE, IF ANY, IN THE 12 MONTHS BEFORE THE CLAIM.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

22. Indemnification

You agree to defend, indemnify, and hold harmless ReSell Marketplace and its operator from and against any claims, liabilities, damages, losses, and expenses, including attorneys’ fees, arising out of or related to:

• Your use of the Service
• Your User Content
• Your listings or transactions with other users
• Your messages or reports
• Your violation of these Terms, Community Guidelines, or law
• Your violation of another person’s rights

23. Account deletion and termination

You may stop using the Service at any time. You may delete your account in the app.

We may suspend, restrict, disable, or terminate your access at any time if we believe you violated these Terms, created safety risk, engaged in fraud or abuse, or if required for legal compliance.

Certain moderation, legal, security, audit, and abuse-prevention records may be retained after deletion or termination as described in our Privacy Policy and Account Deletion page.

24. Governing law

These Terms are governed by the laws of the United States and the state where the operator is based, without regard to conflict of law principles, except where prohibited by applicable law.

25. Changes to these Terms

We may update these Terms from time to time. We will update the effective date when changes are made. Continued use after changes means you accept the updated Terms.
